# Terms of Service

Thank you for using Anirole.

These Terms of Service (hereinafter referred to as "these Terms") set forth the conditions for the use of "Anirole" (including the website and mobile applications; hereinafter referred to as "the Service") provided by Kinkaku, Inc. (hereinafter referred to as "the Company"). In these Terms, "User" refers to a user of the Service. By commencing use of the Service, the User is deemed to have agreed to these Terms and the Privacy Policy. Please be sure to read these Terms and the Privacy Policy before using the Service.

## Article 1 (Applicability)

1. These Terms shall apply to all matters relating to the use of the Service between the User and the Company.
2. The Company may establish rules and other provisions (hereinafter referred to as "Supplementary Provisions") regarding the use of the Service in addition to these Terms. Regardless of their title, such Supplementary Provisions shall constitute a part of these Terms.
3. In the event of any conflict between these Terms and the Supplementary Provisions, the Supplementary Provisions shall prevail unless otherwise specified in the Supplementary Provisions.

## Article 2 (Definitions)

In these Terms, the following terms shall have the meanings set forth below.

1. "AI Character" means a character utilizing AI (artificial intelligence) provided through the Service.
2. "Conversation Content" means the collective term for text, images, audio, and other data entered by the User in conversations with AI Characters, as well as responses generated by AI Characters.
3. "User Content" means all content, including character settings, profile information, Conversation Content, and any other content that a User creates, posts, transmits, or otherwise provides through the Service.
4. "Third-Party AI Service" means AI-related services provided by third parties (including, but not limited to, API services provided by Google, OpenAI, Anthropic, and others) that the Company uses to provide AI Character response generation and other features of the Service.

## Article 3 (User Registration)

1. Registration for the Service shall be completed when an applicant for registration applies for registration by the method prescribed by the Company, having agreed to these Terms, and the Company approves such application.
2. Users may register for the Service through the following methods. Where the use of or data linkage with an external service is required for registration, the User shall be responsible for making the necessary settings in such external service.
    1. Registration via Google account
    2. Registration via Apple ID
    3. Other methods separately prescribed by the Company
3. The Company may decline to approve an application for registration if it determines that the applicant falls under any of the following, and shall bear no obligation to disclose the reasons therefor.
    1. Where false information is submitted in connection with the application for registration
    2. Where the application is from a person who has previously violated these Terms
    3. Where the Company otherwise determines that registration is not appropriate
4. Users shall not lend, transfer, change the name of, or otherwise dispose of their account to any third party.

## Article 4 (Eligibility)

1. The Service is available only to persons aged 14 or older. Persons under the age of 14 may not use the Service. If it becomes known that a person under the age of 14 is using the Service, the Company may take such measures as deleting the relevant account.
2. If a User is a minor, the User must obtain consent from a parent or legal guardian prior to using the Service.
3. The use of certain features of the Service may require age verification or other procedures as designated by the Company.

## Article 5 (Description of the Service)

1. The Service is a service that allows Users to converse with AI Characters. Users may create AI Characters on the Service or converse with AI Characters created by other Users.
2. The Service may only be used by persons who comply with these Terms and applicable laws and regulations.
3. The Service has both free and paid Users, and the features available may differ depending on the type of User.

## Article 6 (Paid Services)

1. Paid Users shall pay the usage fees separately determined by the Company through the payment methods separately determined by the Company (including in-app purchases).
2. For payments made through the Apple App Store or Google Play, the payment and refund policies established by the respective platform shall apply.
3. Usage fees for paid Users may be changed. In the event that the Company changes usage fees, the Company shall make the revised fees and the date of the change available to Users through the Service or by email.
4. The subscription period for paid services shall be the period prescribed by the Company selected by the User at the time of subscription and shall be automatically renewed for the same period unless cancelled by the end of such period.
5. Paid services may be cancelled at any time; however, usage fees already paid shall not be refunded even if cancellation is made during the subscription period. This shall not apply where required by law or where the refund policy of the respective platform applies.

## Article 7 (Intellectual Property Rights and License)

1. Copyright, patent rights, trademark rights, and other intellectual property rights (hereinafter referred to as "Intellectual Property Rights") relating to the Service belong to the Company or third parties that have licensed them to the Company.
2. Rights to characters and User Content created by Users on the Service shall belong to the User. However, the User hereby grants to the Company a non-exclusive, royalty-free, transferable, and sublicensable license to store, reproduce, modify, display, and distribute such content for the purposes of providing, maintaining, improving the Service, and developing new services.
3. Users warrant that their User Content does not infringe the rights of any third party.

## Article 8 (Prohibited Conduct)

The Company prohibits Users from engaging in any of the following conduct in connection with the use of the Service.

1. Conduct that violates laws or regulations, conduct that is contrary to public order and morals, and conduct that violates these Terms
2. Conduct that infringes the intellectual property rights, portrait rights, privacy rights, honor rights, or other rights of the Company or third parties
3. Conduct that violates AI ethics. In particular, the following conduct is strictly prohibited:
    1. Creating characters that represent real persons or organizations without authorization and attempting to spread false information
    2. Creating characters that correspond to minors or other vulnerable persons and using them in illegal or unethical ways
    3. Intentionally circumventing safeguards or otherwise exploiting vulnerabilities in AI technology to pursue illegal or unethical purposes
4. Transmitting or causing the generation of content that contains violent, cruel, sexual, discriminatory expressions, expressions that induce or promote suicide or self-harm, expressions that constitute child pornography or child abuse, or other inappropriate expressions
5. Conduct that violates the terms of service, content policies, or other usage conditions established by the companies providing the Third-Party AI Services
6. Conduct that places an excessive burden on servers or other systems connected to the Service (including, but not limited to, sending an abnormal number of requests or using automated means)
7. Unauthorized analysis of the copyrighted works, trademarks, designs, or other elements of the Service through reverse engineering, disassembly, or decompilation
8. Unauthorized acquisition or use of other Users' account information
9. Any other conduct that the Company deems inappropriate

## Article 9 (Suspension and Termination of Membership)

1. If the Company determines that a User falls under any of the following items, the Company may, without prior notice, restrict all or part of the User's access to features, permanently or temporarily suspend the User's use of the Service, delete the User's account, or take other necessary measures.
    1. Where the User has violated laws, regulations, or these Terms
    2. Where the User is a member of or affiliated with an organized crime group or similar organization
    3. Where registered information is found to be false
    4. Where the User has previously had their use of the Service suspended
    5. Where the Company otherwise determines that such measures are appropriate
2. The Company shall not be obligated to refund any usage fees already paid in connection with measures taken under the preceding paragraph.
3. The Company shall not be liable for any damages incurred by the User as a result of measures taken under this Article.

## Article 10 (Display of Advertisements)

Users understand and consent to the fact that advertisements of the Company or third parties may be displayed within the Service.

## Article 11 (Disclaimer Regarding AI Responses)

1. Responses from AI Characters (including text, images, etc.) are automatically generated by AI, and their accuracy, reliability, completeness, truthfulness, legality, and other qualities are not guaranteed.
2. Responses from AI Characters do not constitute medical, legal, financial, or any other professional advice.
3. Users shall use responses from AI Characters at their own risk.

## Article 12 (Handling of Collected Information)

1. The Company shall handle Users' personal information appropriately in accordance with the Privacy Policy established by the Company.
2. The Company may use information regarding Users' usage of the Service and other information obtained by the Company in connection with Users' use of the Service for the purposes of providing, maintaining, and improving the Service and other services provided by the Company, improving AI conversation algorithms, planning and developing new services, and delivering advertisements.

## Article 13 (Changes to, Suspension and Termination of the Service)

1. The Company may change, interrupt, suspend, or terminate all or part of the Service without prior notice to Users if any of the following events occurs.
    1. Where maintenance is performed on equipment or other facilities used for the Service
    2. Where the provision of the Service becomes difficult due to fire, power outage, natural disaster, or other force majeure
    3. Where there is a suspension, failure, or specification change of a Third-Party AI Service
    4. Where the Company otherwise determines that an interruption of the Service is necessary for operational or technical reasons
2. The Company shall not be liable for any damages incurred by Users as a result of measures taken under this Article.

## Article 14 (No Warranty and Limitation of Liability)

1. The Company does not warrant and shall not be liable for the proper operation, reliability, completeness, accuracy, legality, fitness for a particular purpose, or any other aspect of the Service.
2. The Company does not warrant and shall not be liable for the non-infringement of intellectual property rights or other rights of third parties by the Service.
3. The Company shall not be liable for and makes no warranty regarding the reliability, accuracy, truthfulness, or any other aspect of AI Character responses.
4. The Company shall not be obligated to retain User data (including Conversation Content). The Company shall not be obligated to restore data in the event of data loss.
5. The Company shall not be liable for any damages incurred by Users in the event that all or part of the Service becomes unavailable due to changes in the content or operation of external services (including Third-Party AI Services, the Apple App Store, Google Play, etc.).
6. In the event that the Company is liable for damages to a User, the Company's liability shall be limited to actual, direct, and ordinary damages suffered by the User resulting from the Company's breach of contract or tort, up to a maximum of the amount paid by the User to the Company during the one-month period immediately preceding the event giving rise to such liability. However, this limitation shall not apply where the damages are caused by the Company's willful misconduct or gross negligence.

## Article 15 (Dormant Accounts)

1. If a User has not used the Service for one year or more, the Company may place the User's account in a dormant state and restrict the User's use of the Service.
2. The Company shall endeavor to notify the User of the scheduled transition to dormant status no later than 30 days prior to such transition.
3. A dormant account may be reactivated through procedures separately prescribed by the Company.

## Article 16 (Changes to These Terms)

1. In the event that the Company changes these Terms, the Company shall provide notice of the changes, the content of the revised Terms, and the effective date within the Service or on the Company's website no later than 7 days (or 30 days in the case of changes that are disadvantageous to Users) prior to the effective date of the revised Terms.
2. If a User does not express an intention to reject the changes by the effective date following the notice described in the preceding paragraph, the User shall be deemed to have agreed to the revised Terms. Users who do not agree to the revised Terms may terminate their agreement.

## Article 17 (Relationship Between These Terms and Laws)

In the event that any provision of these Terms is found to be contrary to the Consumer Contract Act or other laws and regulations applicable to the agreement between the User and the Company regarding the Service, such provision shall not apply to the agreement with the User to that extent. However, even in such cases, the validity of the other provisions of these Terms shall not be affected.

## Article 18 (Language)

These Terms are written in Japanese as the authoritative text. Even if translations in other languages are prepared for reference purposes, only the Japanese authoritative text shall have binding effect as the agreement, and translations in other languages shall have no legal effect.

## Article 19 (Governing Law and Jurisdiction)

These Terms shall be governed by the laws of Japan. Any and all disputes arising in connection with the Service between the User and the Company shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
